Extension of Period of Supervisory Board Member’s Delegation to Serve as Acting President of Management Board

With reference to Current Reports Nos. 42/2019 and 43/2019 of 28 November 2019 on delegating Mr Michał Hulbój, a Member of Supervisory Board of the Company, to act as the President of the Issuer’s Management Board for a three-month period, the Management Board of Develia S.A. (“the Company” or “the Issuer”) inform that on 26 February 2020, the Supervisory Board of the Company, acting pursuant to Article 383(1) of the Commercial Partnerships and Companies Code, passed a resolution under which they delegated Mr Michał Hulbój to act as the President of the Management Board of the Company for a period from 29 February 2020 to 29 May 2020.

Mr Michał Hulbój graduated from the Warsaw School of Economics (SGH), where he received a university degree in Finance and Banking. He holds a licence of securities broker and passed two CFA exams. As regards his professional experience, he participated in a training aimed at staff occupying managerial roles at Bank Millenium, subsequently, he worked as share analyst at Millenium Dom Maklerski, PTE PZU and AIG PTE.

Between 2008 and 2010, he was employed as stock portfolio manager at PTE PZU. At the end of 2010, he was appointed as Head of Share Products Management Team at Skarbiec TFI. In 2012, he was employed with Erste Securities Polska in his capacity as Head of Research Department. In February 2013, he assumed the position of Head of Asset Management Department at Forum TFI S.A., and in October 2013, he was appointed to the Management Board of Forum TFI S.A. as its Member. Between 2014 and 2018, he acted in his capacity as the President of Cresco Sp. z o.o.

In June 2015, he was appointed to the Supervisory Board of Trakcja PRKiL S.A., where he is also a member of Appointment and Remuneration Committee, and since June 2016, the Vice Chairman of the Supervisory Board. Since May 2017, he has been sitting on the Supervisory Board of Orzeł Biały S.A., where he has been also presiding over the meetings of Audit Committee since September 2017. Since May 2017, he has been sitting on the Supervisory Board of DEVELIA S.A. (formerly LC Corp S.A.), and since October 2017, he has been acting in his capacity as the Supervisory Board Chairman. Since December 2017, he has been serving as Member of Supervisory Board and of Audit Committee at EMC Instytut Medyczny S.A. From June 2018 to November 2019, he was Member of Supervisory Board and of Audit Committee at Nowa Gala S.A. Since May 2019, he has been Member of Supervisory Board and Chairman of Audit Committee at AC S.A. Since June 2019, he has been sitting on the Supervisory Board of Libet S.A. as its Member. Furthermore, he has been sitting on the Management Board of subsidiaries of Develia S.A. since December 2019.

The Issuer further inform that according to a declaration submitted, Mr Michał Hulbój is not engaged in any activity competing with the Company – except for functions served while sitting on the governing bodies of subsidiaries of Develia S.A., does not participate in any business which is a Company’s competitor as a partner in a private or other partnership or a shareholder of any company, and is not engaged in any legal entity as member of its governing body, and furthermore, does not appear on the Register of Insolvent Debtors kept pursuant to the National Court Register Act.
